Terms of Service
1. Who we are and what these terms cover
Lumecon is an economic analysis platform operated by Lumecon Inc.. Once finalized and accepted, these terms will govern the Lumecon software, websites, subscriptions and advisory services, including the Cedar product family: Cedar Impact, where you run economic impact analysis; Cedar Commons, the shared project workspace; Cedar Grove, the advanced data library; and Cedar, the AI economic analyst, in every plan.
2. The service, including beta access
Lumecon is offered in phases. During any beta or early-access period, features may change, pause or end without notice, and access may be granted, limited or withdrawn at our discretion. Beta access is provided so you can evaluate the platform; it creates no entitlement to any particular feature, output, uptime or continued access.
3. Accounts
You are responsible for your account credentials and for activity under your account. If an account is created or paid for on behalf of an organization, the account belongs to that organization and may be reassigned within it. You must be at least 18 and, when registering for an organization, authorized to act for it. We may suspend accounts that violate these terms or put the service or other customers at risk.
4. Subscriptions and fees
Paid plans are annual, priced as published or as agreed in an order form, and payable in advance. The published plan price is all-inclusive: applicable taxes and fees are included in it, as stated on the pricing page. Subscriptions renew for successive annual terms unless either party gives notice before renewal. Except where the law requires otherwise, fees are not refundable. Plan prices may change at renewal with advance notice.
5. Your content
You keep ownership of the documents, data and other material you bring to the service. You grant Lumecon Inc. the license needed to host, process and display that material in order to operate, secure and support the service for you. You are responsible for having the rights to the material you upload and for its accuracy. We may use aggregated and de-identified information derived from use of the service to improve the platform, in ways that do not identify you or your organization.
6. Results are estimates
Lumecon results are decision-support estimates. They describe likely economic relationships given the data and assumptions stated in each analysis, and they are labeled as estimates everywhere they appear. They are not financial, legal, tax or investment advice, they are not audits, and no result is a guarantee of any economic outcome. You are responsible for the decisions you make with them and for confirming the assumptions each analysis states.
7. Cedar and AI outputs
Cedar assists with document intake, proposed input mappings, interpretation and reporting. Cedar Impact applies approved inputs to the economic model. Like all AI systems, Cedar can be wrong, so the person running an analysis is responsible for reviewing and approving its suggestions and the assumptions behind the final result.
8. Acceptable use
You agree not to misuse the service. That includes attempting to breach its security, probing or overloading it, reselling or sublicensing access without an agreement that allows it, scraping the service, using it to build a competing product, removing proprietary notices, reverse engineering the software except where the law permits, or presenting Lumecon outputs in a way that misstates what they are or how they were produced.
9. Intellectual property
The Lumecon software, proprietary models, data architecture, documentation, website content and other materials we create are owned by Lumecon Inc. or our licensors and are protected by intellectual property law; Lumecon’s technology is patent pending. Public data, customer content and third-party materials remain subject to their own rights and licenses. Lumecon, We luminate economies and Cedar are trademarks of Lumecon Inc.. These terms grant you a right to use the service, not any ownership in it.
10. Warranties and disclaimers
The service is provided as is and as available. To the fullest extent the law allows, Lumecon Inc. disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and does not warrant that the service will be uninterrupted, error-free or that any output will be accurate or complete.
11. Limitation of liability
To the fullest extent the law allows, Lumecon Inc. will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, however arising. Our total liability for all claims arising out of or relating to the service is limited to the fees you paid for the service in the twelve months before the event giving rise to the claim, or one hundred dollars if you have paid no fees.
12. Indemnification
You will defend and indemnify Lumecon Inc. against claims arising from the material you bring to the service, your use of results in violation of these terms, or your violation of law or the rights of a third party.
13. Termination
You may stop using the service at any time. We may suspend or terminate access for material breach of these terms that is not cured after notice, or immediately where the breach puts the service or others at risk. On termination your right to use the service ends; sections that by their nature should survive (including ownership, disclaimers, liability limits and indemnification) survive.
14. Changes and governing law
We may update these terms as the service evolves; material changes will be notified and apply going forward from their effective date. The governing law and venue for these terms will be stated here when counsel finalizes them.
